1. Introduction

These Terms & Conditions ("Terms") govern your access to and use of DentAI, including our website, software platform, AI visibility assessments, dashboards, evidence, Action Intelligence, and related services (collectively, the "Service").

DentAI is operated by Farrukh Naseem, trading as DentAI ("DentAI," "we," "us," or "our"), a sole proprietorship registered in Pakistan.

By creating an account, purchasing a subscription, or using the Service, you agree to these Terms.

If you are using DentAI on behalf of a dental practice, company, or other organization, you represent that you have authority to bind that organization to these Terms.

2. The DentAI Service

DentAI is an AI visibility intelligence platform designed primarily for dental practices.

Depending on your subscription plan, DentAI may measure and analyze matters such as:

• whether a dental practice appears in relevant AI-generated answers;
• competing practices appearing in those answers;
• services and geographic markets associated with those appearances;
• domains, webpages, and sources cited in observed AI responses;
• performance across supported AI platforms;
• brand or by-name recognition;
• patient-access and insurance-related visibility factors;
• evidence-backed Action Intelligence; and
• changes observed across recurring assessments.

DentAI performs structured assessments using defined patient-search scenarios and publicly available practice information.

DentAI does not monitor actual private searches conducted by individual patients.

3. No Patient Records Required

DentAI is designed to analyze public-facing information and AI visibility.

You should not submit patient records, protected health information, clinical records, treatment records, medical records, or other patient-identifiable health information to DentAI unless DentAI has expressly provided a feature and written terms permitting such information.

DentAI does not require access to your EMR, EHR, practice-management system, or patient database to perform its standard AI visibility assessments.

4. Authority to Assess Your Practice

When you request or authorize a DentAI assessment, you represent that:

• you are authorized to act for the relevant practice;
• information you provide about the practice is accurate to the best of your knowledge; and
• DentAI may use the practice information you provide, together with publicly available information, to perform the requested assessment.

You authorize DentAI to submit appropriate assessment queries to third-party AI platforms and service providers as necessary to provide the Service.

5. AI Results and Limitations

AI-generated responses can change over time and may vary based on the AI platform, model, location, context, date, system configuration, and other factors outside DentAI's control.

DentAI measures responses observed during an assessment. An observed result does not guarantee that every future user will receive the same result.

DentAI does not guarantee:

• specific AI rankings or placement;
• increased patient volume;
• leads, appointments, revenue, or return on investment;
• that a particular action will cause an AI platform to change its response;
• uninterrupted inclusion in AI-generated answers; or
• complete coverage of every possible patient question or AI platform.

DentAI distinguishes measured evidence from recommendations and does not intentionally represent observed association as proven causation.

6. Action Intelligence

DentAI may provide prioritized actions based on evidence observed during an assessment.

These recommendations are informational and strategic in nature. Unless expressly included in your subscription or a separate service agreement, DentAI does not undertake to implement every recommended action.

For eligible Founding Design Partners, DentAI may provide package-specific implementation support during the 3-month Founding Design Partner period.

The scope of that implementation depends on the package selected and the specific offer presented at purchase or activation.

Supported implementation may include, where applicable:

• evidence-backed one-time Action Intelligence work;
• supported website and service-page improvements;
• supported SEO and AI-readiness work;
• supported content production;
• citation/source opportunity work; or
• other implementation expressly included in the applicable Design Partner package.

Standard and Maximum Design Partner packages may include recurring supported content production during the 3-month Design Partner period according to the package terms shown at purchase.

The special higher-touch Design Partner implementation and included content-production program applies during the first 3 months only and does not automatically continue during Months 4 to 15 unless separately included or agreed in writing.

Unless expressly included in the applicable offer, DentAI implementation support does not include:

• paid advertising spend;
• third-party publisher or platform fees;
• major website rebuilds outside the supported scope;
• unrelated custom software development;
• external PR/media costs; or
• other third-party costs.

Any out-of-scope work or third-party cost is discussed with the customer before it is incurred.

Material public-facing changes that require practice approval are reviewed with the customer before publication or implementation.

7. Accounts and Security

You are responsible for maintaining the confidentiality of your account credentials and for activities conducted through your account.

You must provide accurate account information and promptly notify us if you believe your account has been compromised.

You may not share access in a manner that circumvents applicable subscription limits.

8. Subscription Plans

DentAI offers subscription plans with different service limits, assessment capacities, platform coverage, features, and other entitlements.

The plan, price, billing frequency, and features applicable to your purchase are those displayed to you at the time of checkout.

DentAI currently intends to provide one fresh governed assessment per subscription month, subject to the purchased plan and the availability of sufficient valid inputs.

Assessment limits are maximum entitlements. DentAI is not required to manufacture artificial services, queries, locations, or assessments solely to reach a stated maximum.

9. Founding Design Partner Pricing

Where you purchase a qualifying Founding Design Partner subscription, the applicable Design Partner pricing and benefits shown at checkout form part of your subscription terms.

Unless otherwise stated at purchase, the current Founding Design Partner offer provides a 50% Design Partner rate for the three-month Design Partner period and continues that same 50% rate for the following twelve months, giving fifteen consecutive months at 50% of regular subscription pricing. After that period, the subscription moves to the then-applicable regular price unless otherwise agreed in writing.

Eligibility and availability of promotional offers may be limited.

10. Billing and Paddle

Payments for DentAI subscriptions are processed through Paddle.

Paddle acts as the Merchant of Record for transactions processed through Paddle and is responsible for processing the transaction, applicable sales taxes, and related buyer-payment services.

The purchase process is conducted through Paddle as DentAI's authorized online reseller and Merchant of Record. Paddle may also handle payment-related buyer inquiries, refunds, and returns in accordance with its applicable buyer terms and policies. Paddle's seller guidance specifically requires sellers to make this relationship clear.

By purchasing through Paddle, you may also be subject to Paddle's buyer terms and privacy notice.

11. Automatic Renewal

Unless identified as a non-renewing purchase, DentAI subscriptions automatically renew at the billing interval disclosed at checkout until canceled.

You authorize the applicable recurring charge when you complete checkout.

Any renewal price applicable to your subscription will be determined by your purchase terms, including any valid promotional or Design Partner pricing commitments.

12. Cancellation

You may cancel your subscription at any time through the available Paddle subscription-management tools or by contacting us at info@dentai.io.

Unless otherwise required by law, cancellation prevents future renewal and does not ordinarily terminate access for a subscription period that has already been paid.

You will normally retain access until the end of the then-current paid billing period.

13. Refunds

Refunds are governed by the DentAI Refund & Cancellation Policy, Paddle's applicable buyer/refund policies, and any mandatory rights under applicable law.

Our Refund & Cancellation Policy is incorporated into these Terms.

14. Taxes

Where Paddle acts as Merchant of Record, Paddle generally calculates, collects, and remits applicable transaction taxes in accordance with its obligations.

Prices displayed before checkout may be subject to taxes depending on the purchaser's location and the applicable checkout configuration.

15. Acceptable Use

You may not use DentAI:

• for unlawful, fraudulent, deceptive, or abusive purposes;
• to gain unauthorized access to any system;
• to interfere with DentAI or another customer's use of the Service;
• to reverse engineer or attempt to extract proprietary DentAI methodology except where prohibited by law;
• to upload malicious code;
• to misrepresent yourself as another practice or business;
• to submit patient records or sensitive health information contrary to these Terms; or
• to resell or sublicense access unless DentAI has expressly authorized it.

16. Intellectual Property

DentAI and its software, interface, methodology, branding, models, taxonomies, workflows, assessment systems, design elements, and original content are owned by DentAI or its licensors and are protected by applicable intellectual-property laws.

These Terms grant you a limited, non-exclusive, non-transferable right to use the Service during an active subscription.

No ownership rights are transferred to you.

17. Your Information

You retain your rights in information that you lawfully provide to DentAI.

You grant DentAI a limited right to process that information as reasonably necessary to operate, secure, support, improve, and provide the Service, subject to our Privacy Policy.

18. Publicly Available Information

DentAI may collect and analyze information that is publicly accessible, including practice websites, service pages, public business information, public directories, and other publicly available sources relevant to the assessment.

Public availability does not mean DentAI claims ownership of third-party information.

19. Third-Party Platforms

DentAI may interact with or rely on independent third-party services, including AI platforms, hosting providers, payment providers, and other technology services.

DentAI is an independent product and is not affiliated with, endorsed by, or sponsored by OpenAI, Perplexity, xAI, Anthropic, Google, or any other AI platform unless expressly stated otherwise.

Third-party services may change, become unavailable, modify their APIs, or alter their outputs without notice to DentAI.

20. Availability and Changes

We may update, improve, replace, suspend, or discontinue parts of the Service.

We do not guarantee uninterrupted or error-free operation.

Where a material change significantly affects an active paid subscription, we will use reasonable efforts to provide appropriate notice where required.

21. Confidentiality

Each party should use reasonable care to protect non-public confidential information received from the other and should use such information only as necessary for the relationship.

This obligation does not apply to information that is already public through no breach, independently developed, lawfully received from another source, or required to be disclosed by law.

22. Disclaimer of Warranties

To the maximum extent permitted by law, DentAI is provided on an "as available" basis.

DentAI does not warrant that assessments will identify every possible visibility issue or that third-party AI platforms will produce consistent results.

Nothing in these Terms excludes warranties or rights that cannot legally be excluded.

23. Limitation of Liability

To the maximum extent permitted by applicable law, DentAI will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, business opportunities, goodwill, or anticipated savings arising from use of the Service.

To the maximum extent permitted by applicable law, DentAI's aggregate liability arising from the Service will not exceed the amounts paid by you to DentAI through Paddle for the Service during the 12 months immediately preceding the event giving rise to the claim.

Nothing in these Terms limits liability where such limitation is prohibited by law.

24. Indemnification

To the extent permitted by law, you agree to indemnify DentAI against third-party claims arising from your unlawful use of the Service, your violation of these Terms, or information you provide without sufficient rights or authority.

25. Termination

We may suspend or terminate access where reasonably necessary because of:

• material violation of these Terms;
• fraud or suspected abuse;
• legal or regulatory requirements;
• security risks;
• nonpayment; or
• use that threatens DentAI, its providers, or other users.

Where practicable, we will provide notice and a reasonable opportunity to cure a remediable violation.

26. Governing Law

These Terms are governed by and interpreted in accordance with the laws applicable to DentAI's current business registration and operations in Pakistan, without regard to conflict-of-law principles.

Nothing in these Terms limits any mandatory rights a customer may have under applicable consumer-protection or other laws that cannot legally be waived.

27. Changes to These Terms

We may update these Terms from time to time.

The revised version will display an updated "Last Updated" date.

Where required, we will provide notice of material changes.
